Read the terms that govern use of SellCove services.

1. Agreement; Parties; Scope
These Terms of Service (“Terms”) are a legally binding agreement between UzoUniverse, LLC d/b/a SellCove (“SellCove,” “we,” “us,” or “our”) and any person or entity that accesses or uses SellCove’s website, applications, APIs, storefronts, checkout pages, creator dashboard, and related services (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility; Authority; Account Responsibility
You must be at least 18 years old (or legal age of majority in your jurisdiction) and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
You are responsible for all activity under your account, including maintaining accurate account information, safeguarding credentials, and promptly notifying us of unauthorized use.
3. Role of SellCove; Merchant of Record
SellCove provides software tools for creators/sellers to offer digital goods, subscriptions, and bookable services. Unless expressly stated otherwise in writing, SellCove is a technology platform and not the seller/merchant of record for creator-listed products. Creators are responsible for product content, delivery, legal compliance, taxes, customer support, and fulfillment obligations.
For creator-listed products sold through creator storefronts, the creator/seller (not SellCove) is the merchant of record. For SellCove’s own platform subscriptions or services sold directly by SellCove, SellCove is the merchant of record.
4. Service Features and Plan Availability
Features may vary by plan, account status, geography, product type, and third-party availability. Capabilities may include, without limitation:
- Storefront hosting and custom pages
- Product creation and publishing (including variants, files, categories, tags, subscriptions, and booking products)
- Checkout, subscriptions, invoicing/payment requests, order bumps, and refunds
- Contact/CRM tools and notes
- Email campaigns/series and related tracking endpoints
- Affiliate tools and payout workflows
- Integrations (including webhooks, OAuth connectors, and external provider sync)
- Analytics, event tracking, and operational automation jobs
We may add, modify, limit, or discontinue capabilities from time to time.
5. Fees, Billing, Subscriptions, and Taxes
You agree to pay all applicable subscription fees, transaction fees, platform/application fees, processor fees, and any other charges disclosed to you. Paid subscriptions renew automatically unless canceled according to the plan terms.
You authorize us and our payment processors to charge your selected payment method. You are responsible for taxes, duties, levies, and similar charges associated with your use of the Service or your sales, except taxes imposed on SellCove’s net income.
If payment fails, we may suspend or limit access until amounts due are paid.
If your plan includes a trial or promotional period, paid billing may begin automatically when that period ends unless canceled before renewal.
6. Payment Processing and Third-Party Terms
Payment processing is provided by third parties (including Stripe and Stripe Connect). Your use of payment functionality is subject to those providers’ terms, policies, and compliance requirements.
You must not use the Service for prohibited or restricted businesses or transactions. You are responsible for ongoing compliance with card network rules, payment processor rules, sanctions laws, anti-money-laundering laws, and export controls.
7. Creator Responsibilities (Products, Content, Delivery, and Support)
Creators/sellers are solely responsible for:
- Product accuracy, legality, and non-infringement
- Pricing, descriptions, disclosures, and marketing claims
- Fulfillment/delivery of promised products or services
- Customer communications, refunds (where required), and support
- Required legal notices, terms, and regulatory disclosures
- Compliance with advertising, endorsements, and consumer protection laws
SellCove may remove or restrict content that violates these Terms, law, third-party rules, or platform integrity standards.
8. Booking Products and Appointment Services
For bookable services, creators control availability, duration, meeting method (e.g., virtual/in-person/phone), cancellation and reschedule settings, and policy text. By purchasing a booking, customers agree to the listed booking terms.
Appointment times are presented using configured and/or detected timezones; final booking records may be stored in UTC. Calendar invites/reminders may be provided for convenience and are not guaranteed delivery. Customers are responsible for providing accurate contact details and attending at scheduled times.
Creators are responsible for honoring booking commitments and clearly stating cancellation/refund rules.
9. Customer Purchases; Refunds; Chargebacks
All purchases are subject to the creator’s product terms, applicable law, and processor rules. Refund handling may be manual or automated depending on product type and platform functionality. Where a refund is processed, it may be full or partial.
Excessive disputes, chargebacks, fraud indicators, or abuse may result in holds, reversals, account restrictions, or termination.
10. Acceptable Use and Prohibited Conduct
You may not use the Service to:
- Violate any law or regulation
- Infringe intellectual property, privacy, or publicity rights
- Transmit malware, harmful code, or unauthorized scripts
- Commit fraud, deceptive practices, or payment abuse
- Circumvent security, rate limits, gating, or access controls
- Scrape or access data in unauthorized ways
- Send unlawful marketing communications or spam
- Facilitate prohibited products/services or sanctioned transactions
We may investigate and take enforcement action, including suspension, takedown, and termination.
11. Email Marketing and Messaging Compliance
If you send campaigns, automations, or transactional messages through the Service, you are responsible for legal compliance, including consent and unsubscribe requirements where applicable, and accurate sender identity.
For U.S. commercial email, users must comply with the CAN-SPAM Act and related rules.

12. Affiliate Marketing and Endorsement Disclosures
Users running affiliate/promotional activity must provide clear and conspicuous disclosures of material connections where required by law and platform policy. You are responsible for compliant representations by your affiliates and marketing partners.

13. Integrations, APIs, and Webhooks
Use of integrations, APIs, webhooks, and OAuth connections is at your own risk and subject to third-party uptime, policy changes, and security practices. You are responsible for:
- Securing credentials and endpoint secrets
- Validating inbound events/signatures
- Preventing replay, injection, and unauthorized access
- Maintaining lawful and documented data flows
SellCove is not liable for losses caused by third-party outages, API changes, revocations, or integration misuse.
14. User Content; Licenses; Feedback
You retain ownership of your content. You grant SellCove a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display your content as necessary to provide, secure, improve, and operate the Service.
You represent that you have all rights needed for submitted content. If you provide feedback or suggestions, we may use them without restriction or compensation.
15. Intellectual Property
SellCove and its licensors own all rights in the Service, software, trademarks, and related materials, excluding your content. No rights are granted except as expressly set out in these Terms.
16. Privacy and Data Processing
Our Privacy Policy explains how we collect, use, and disclose personal data. To the extent SellCove processes personal data on your behalf, the parties may require a separate data processing addendum where legally required.
You are responsible for providing lawful notice/consent to your customers and contacts for your own data collection and marketing practices.
17. Security; Service Availability; Beta Features
We use commercially reasonable measures to protect the Service, but no system is perfectly secure. The Service may be unavailable from time to time due to maintenance, incidents, or factors outside our control.
Beta/preview features are provided “as is,” may be changed at any time, and may be subject to additional terms.
18. Suspension and Termination
We may suspend or terminate access immediately, with or without notice, if we believe you violated these Terms, law, third-party requirements, or created risk for users, processors, or SellCove.
Upon termination, rights granted to you end immediately. Provisions that by nature should survive termination will survive.
19. Copyright Policy (DMCA)
We respond to notices of alleged copyright infringement and may remove or disable access to content alleged to be infringing, in accordance with applicable law including the DMCA.
If you believe content on the Service infringes your copyright, send a written notice that includes: identification of the copyrighted work, identification/location of the allegedly infringing material, your contact details, a good-faith statement, and a statement under penalty of perjury that the notice is accurate and you are authorized to act.
If your content was removed by mistake or misidentification, you may submit a counter-notice as permitted by law.
We may terminate repeat infringers in appropriate circumstances.

20. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
We do not warrant uninterrupted operation, error-free performance, guaranteed compatibility, or specific business outcomes.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLCOVE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION.
EXCEPT FOR EXCLUDED LIABILITIES THAT CANNOT BE LIMITED BY LAW, SELLCOVE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID BY YOU TO SELLCOVE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.
22. Indemnification
You will defend, indemnify, and hold harmless SellCove and its affiliates, officers, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your content, products, offers, or marketing
- Your breach of these Terms
- Your violation of law or third-party rights
- Your use of integrations, APIs, payment processing, or customer data
23. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
23.1 Informal Resolution Notice Process
Before commencing arbitration, each party will send a written notice of dispute describing the claim and requested relief to the other party’s legal notice address. The parties will attempt in good faith to resolve the dispute informally for at least 60 days after receipt of notice.
23.2 Arbitration Agreement
Except for claims that qualify for small claims court and claims for injunctive or equitable relief related to intellectual property, confidentiality, data security, or unauthorized access, disputes will be resolved by final and binding individual arbitration in Los Angeles County, California under AAA rules then in effect.
The Federal Arbitration Act governs interpretation and enforcement of this arbitration agreement.
23.3 Class Action and Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION.
23.4 Arbitration Procedures and Costs
The arbitration administrator’s applicable rules will govern filing fees and administrative costs, subject to applicable law. The arbitrator may award costs and fees as permitted by law and the governing arbitration rules.
24. Compliance with Trade Controls and Sanctions
You represent and warrant that you are not subject to sanctions, embargoes, or denied-party restrictions that would make your use of the Service unlawful, and you will not use the Service in violation of export control or sanctions laws.
25. Electronic Communications and Notices
You consent to receive electronic communications from us, including notices, disclosures, billing communications, and updates to these Terms, via email, in-product messages, or postings on the Service. You are responsible for keeping your account contact information current.
26. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by reasonable means (for example, notice in-app, by email, or on our site). Continued use after the effective date constitutes acceptance of updated Terms.
27. Miscellaneous
If any provision is held unenforceable, remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with merger, acquisition, reorganization, or asset sale. These Terms are the entire agreement between you and SellCove regarding the Service.
Neither party is liable for delay or failure to perform caused by events beyond reasonable control (for example, natural disasters, internet/provider outages, labor disputes, governmental actions, war, terrorism, epidemics, or infrastructure failures), except for your payment obligations.
